End-User License Agreement ("EULA")

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("you" or "User") and Niche Music, LLC ("Niche Music," "we," "our," or "us") governing your installation and use of Niche Music software applications, including our mobile, desktop, and other downloadable applications, together with any updates, upgrades, components, and related software we provide (collectively, the "Software").

The Software provides access to the Niche Music platform and related services, including music discovery, social features, user profiles, posts, messaging, playlists, music playback and sharing features, artist-uploaded music, editorial content, games, badges, and other features we may make available from time to time (collectively, the "Services").

The Software is licensed, not sold, to you.

By downloading, installing, accessing, or using the Software, you agree to this EULA. Your use of the Services is also governed by our Terms of Service and Privacy Policy, which are incorporated into this Agreement by reference.

If you do not agree to this EULA, you may not download, install, access, or use the Software.


1. Eligibility

You must be at least 13 years old to use Niche Music.

By downloading or using the Software, you represent that you meet the eligibility requirements stated in our Terms of Service and that you are legally permitted to enter into this Agreement.

If applicable law requires the consent of a parent or legal guardian for you to use the Software or Services, you may use them only with that consent.


2. License Grant

Subject to your compliance with this EULA and our Terms of Service, Niche Music grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the Software for your own personal, non-commercial use on devices that you own or control.

This license allows you to use the Software only for its intended purpose of accessing and using the Niche Music Services.

For Software obtained through the Apple App Store, your license is also limited to use on Apple-branded products that you own or control and as permitted by the applicable Apple Media Services usage rules, including any permitted Family Sharing or volume purchasing arrangements.

No rights are granted to you except those expressly stated in this Agreement.


3. Ownership of the Software

Niche Music and its licensors retain all right, title, and interest in and to the Software and Services, including, where applicable:

  • Source code and object code
  • Software architecture
  • User interfaces
  • Designs and visual elements
  • Graphics and animations
  • Logos and branding
  • Databases and data structures
  • Algorithms
  • Recommendation and discovery systems
  • APIs
  • Documentation
  • Original editorial content
  • Features and functionality
  • Updates, modifications, and derivative versions of the Software

The license granted under this EULA does not transfer ownership of any portion of the Software or Niche Music intellectual property to you.

"Niche Music," the Niche Music logo, and related branding may not be used without our permission except as allowed by applicable law.


4. License Restrictions

Except where expressly permitted by applicable law, you may not:

  • Copy the Software except as reasonably necessary for permitted use
  • Sell, rent, lease, lend, sublicense, redistribute, or commercially exploit the Software
  • Make the Software available over a network in a manner that allows unauthorized simultaneous use
  • Reverse engineer, decompile, disassemble, decode, or attempt to derive the source code of the Software
  • Modify, translate, adapt, or create derivative works from the Software
  • Remove, conceal, or alter copyright, trademark, attribution, or other proprietary notices
  • Circumvent authentication, access controls, security systems, technical restrictions, rate limits, or other protections
  • Bypass or interfere with digital rights management or other protections applied to music or other content
  • Access private or undocumented APIs in an unauthorized manner
  • Scrape, crawl, extract, index, or collect information from the Software using automated means except where expressly authorized by us
  • Use bots, scripts, automation, or other tools to artificially manipulate engagement, streams, plays, likes, followers, rankings, recommendations, interactions, or other metrics
  • Probe, scan, test, attack, or exploit vulnerabilities in the Software, Services, infrastructure, or connected systems without authorization
  • Use the Software to distribute malware, malicious code, or other harmful technology
  • Use the Software in any manner that violates our Terms of Service or applicable law

Nothing in this section restricts activities that applicable law expressly permits despite these limitations.

Open-source components included in the Software may be governed by separate licenses, and those licenses control with respect to those components where required.


5. Accounts and Online Services

Certain features of the Software require a Niche Music account and an internet connection.

Your account and use of Niche Music's online Services are governed primarily by our Terms of Service.

We may modify, add, restrict, suspend, or discontinue particular online features independently of the installed Software.

Possession of a copy of the Software does not guarantee permanent access to:

  • A Niche Music account
  • Our servers
  • Social features
  • Music catalogs
  • User content
  • Messaging
  • Cloud-stored information
  • Third-party integrations
  • Specific features or functionality

If your account is suspended or terminated, features of the Software that depend on your account may stop functioning.


6. User Content

The Software may allow you to create, upload, submit, transmit, publish, store, or otherwise make available content, including:

  • Posts
  • Messages
  • Comments
  • Images
  • Videos
  • Profile information
  • Music references
  • Music files
  • Tracks and releases
  • Playlist information
  • Artwork
  • Audio
  • Other materials

Your ownership, responsibilities, and licenses relating to User Content are governed by our Terms of Service and, where applicable, additional agreements with Niche Music.

Installing the Software does not transfer ownership of your User Content to Niche Music.

You are responsible for ensuring that you have all rights and permissions necessary for content that you upload or distribute through Niche Music.


7. Artist and Music Upload Features

Certain users may have access to features that allow original music, artwork, credits, releases, or other artist materials to be uploaded or distributed through Niche Music.

Access to these features does not grant you permission to upload copyrighted material that you do not own or have authorization to distribute.

Artists, rights holders, labels, or other parties using Niche Music's music distribution or artist-specific functionality may also be subject to a separate Artist Agreement or other written terms.

If an Artist Agreement applies to you, that agreement governs artist-specific licensing, distribution rights, representations, payment rights, royalties, takedowns, and related matters to the extent of any conflict with this EULA.


8. Third-Party Music and Services

The Software may connect to, display information from, link to, or provide access to third-party services or content, including music platforms such as Apple Music.

Third-party services are governed by their own terms, licenses, privacy policies, and account requirements.

You are responsible for complying with all applicable third-party agreements when using those services through Niche Music.

Niche Music does not grant you ownership or additional rights in third-party music, recordings, artwork, metadata, trademarks, or other content merely because that content can be accessed through the Software.

Availability of third-party content may change or end at any time due to licensing, technical, geographic, platform, or other restrictions outside our control.

Unless explicitly stated otherwise, Niche Music is not sponsored by, affiliated with, or endorsed by third-party music services merely because the Software integrates with them.


9. Music Playback and Availability

Music accessible through Niche Music may come from multiple sources, including:

  • Music uploaded or licensed to Niche Music by artists or other rights holders
  • Third-party music services
  • External links or integrations
  • Other authorized sources

Access to a track does not give you the right to download, copy, redistribute, publicly perform, commercially exploit, or otherwise use the recording outside the functionality expressly made available through Niche Music.

Music may become unavailable, be removed, or change without notice because of artist decisions, copyright claims, licensing changes, third-party service changes, territorial restrictions, account restrictions, or other circumstances.


10. Messaging, Social Features, and Communications

The Software may provide messaging, notifications, comments, community interactions, group features, and other ways to communicate with users.

Your conduct while using those features is governed by our Terms of Service and Community Guidelines.

You acknowledge that communications sent through Niche Music may be transmitted through our systems and stored as necessary to operate the Services, as described in our Privacy Policy.

Niche Music does not guarantee that every message, notification, or other communication will be delivered immediately or successfully.


11. Updates and Changes to the Software

We may periodically release:

  • Bug fixes
  • Security patches
  • Feature updates
  • Interface changes
  • Performance improvements
  • New functionality
  • Compatibility updates
  • Other modifications

Some updates may be installed automatically depending on your operating system, app store, device settings, or version of the Software.

You authorize the Software to receive and install updates where permitted by your device settings and applicable platform rules.

Updates that replace or supplement the Software are governed by this EULA unless we provide a separate license with the update.

We are not required to maintain support for every previous version of the Software indefinitely and may require you to update to a newer version to continue using some or all Services.


12. Beta, Experimental, and Early-Access Features

We may provide features identified as beta, preview, experimental, early access, test, or similar terminology.

These features may:

  • Be incomplete
  • Contain errors or bugs
  • Change significantly
  • Perform unpredictably
  • Lose or incorrectly process information
  • Be suspended or discontinued without notice

You use experimental features at your own risk.

Nothing about the availability of a beta feature guarantees that it will become a permanent part of Niche Music.


13. Internet Access and Device Requirements

Certain features require an internet connection, compatible hardware, an operating system, third-party software, or third-party accounts.

You are responsible for:

  • Obtaining compatible devices
  • Maintaining internet access
  • Paying any carrier, data, internet, or device charges
  • Maintaining compatible operating-system versions
  • Maintaining third-party accounts where required

We do not guarantee that the Software will remain compatible with every device, operating system, or configuration.


14. Notifications and Device Features

With your permission, the Software may use device functionality such as notifications, media playback controls, local storage, file access, cameras, photo libraries, microphones, or other system capabilities when required by features you choose to use.

You may be able to control many of these permissions through your operating system.

Our collection and use of information obtained through these features is described in our Privacy Policy.


15. Privacy and Data

Your privacy is important to us.

Our collection, processing, use, storage, and deletion of personal information in connection with the Software and Services are governed by the Niche Music Privacy Policy.

The Software may communicate with Niche Music servers and authorized service providers in order to provide features such as:

  • Authentication
  • Account synchronization
  • Music and media delivery
  • Messaging
  • Notifications
  • Content delivery
  • Recommendations
  • Safety and abuse prevention
  • Diagnostics
  • Updates
  • Other online functionality

By using the Software, you acknowledge that information may be transmitted as reasonably necessary to provide these functions, subject to our Privacy Policy.


16. Open-Source and Third-Party Software Components

The Software may include libraries, frameworks, codecs, packages, or other components developed by third parties.

Certain components may be made available under open-source or other third-party licenses.

Where a third-party license grants you rights that differ from this EULA, the applicable third-party license governs your use of that particular component.

Nothing in this EULA is intended to restrict rights granted to you under an applicable open-source license.


17. Feedback

If you voluntarily provide ideas, suggestions, bug reports, feature requests, designs, comments, or other feedback regarding Niche Music ("Feedback"), you grant Niche Music a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable right to use, reproduce, modify, adapt, publish, distribute, commercialize, and otherwise use that Feedback for any lawful purpose without compensation or obligation to you.

This section does not give us ownership of your User Content merely because you use the Software.


18. Suspension and Termination of License

This EULA remains effective until terminated by you or Niche Music.

You may terminate this Agreement at any time by uninstalling the Software and ceasing to use it.

Your rights under this EULA may terminate automatically if you materially violate this Agreement.

We may also suspend or terminate your license or access to the Software where reasonably necessary because of:

  • A violation of this EULA
  • A violation of our Terms of Service
  • Security threats
  • Fraud or abuse
  • Intellectual property violations
  • Legal requirements
  • Misuse of Niche Music systems
  • Discontinuation of the Software or Services

Upon termination, you must stop using and, where applicable, delete or uninstall copies of the Software in your possession or control.

Termination of this EULA does not automatically require deletion of information that we are permitted or required to retain under our Privacy Policy, Terms of Service, or applicable law.

Sections that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, license restrictions, disclaimers, liability, Feedback, and legal disputes.


19. Maintenance and Support

Niche Music is solely responsible for maintenance and support of the Software to the extent required by applicable law or expressly promised by us.

We do not guarantee that:

  • Every bug will be corrected
  • Every device will remain supported
  • Every feature will remain available
  • Support will be continuously available
  • Updates will be provided indefinitely

For Software downloaded through the Apple App Store, Apple has no obligation to provide maintenance or support services for Niche Music.

Questions or support requests regarding Niche Music should be directed to Niche Music using the contact information listed at the end of this Agreement.


20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

NICHE MUSIC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • QUIET ENJOYMENT
  • ACCURACY
  • AVAILABILITY

We do not warrant that the Software will:

  • Operate without interruption
  • Be free of defects, bugs, vulnerabilities, or harmful components
  • Meet every user's requirements
  • Remain available permanently
  • Preserve all locally or remotely stored information
  • Work with every third-party service
  • Provide completely accurate recommendations, metadata, statistics, or information

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

Nothing in this Agreement excludes rights that cannot legally be waived under applicable consumer-protection law.


21. Apple App Store Warranty Provision

If you obtained the Software through Apple's App Store and the Software fails to conform to any warranty that cannot legally be disclaimed, you may notify Apple, and Apple may refund the purchase price, if any, that you paid to Apple for the Software.

To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software.

Niche Music, rather than Apple, is responsible for any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure of the Software to conform to an applicable warranty.


22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NICHE MUSIC, LLC AND ITS MEMBERS, OFFICERS, CONTRACTORS, REPRESENTATIVES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SOFTWARE OR SERVICES.

This includes, where permitted by law, damages resulting from:

  • Loss of data
  • Loss of content
  • Loss of profits or revenue
  • Business interruption
  • Device failure
  • Unauthorized access
  • Third-party conduct
  • Service interruptions
  • Loss of access to music or other content

To the maximum extent permitted by applicable law, Niche Music's total aggregate liability arising from or relating to the Software or this EULA will not exceed the greater of:

  1. The amount you paid directly to Niche Music for the Software during the twelve months preceding the event giving rise to the claim; or
  2. US $50.00.

These limitations apply regardless of the legal theory involved and even if Niche Music has been advised of the possibility of such damages.

Some jurisdictions do not allow certain exclusions or limitations of liability, so these provisions may not apply to you to the extent prohibited by law.


23. Product and Legal Claims

You acknowledge that, as between Niche Music and Apple or another software-distribution platform, Niche Music is responsible for addressing claims relating to the Software or your possession and use of the Software to the extent required by applicable law.

For Software obtained through Apple's App Store, Niche Music, not Apple, is responsible for addressing claims including:

  • Product liability claims
  • Claims that the Software fails to satisfy an applicable legal or regulatory requirement
  • Claims arising under consumer-protection, privacy, or similar legislation

Nothing in this section limits rights that cannot legally be waived.


24. Intellectual Property Claims Relating to the Software

If a third party claims that the Software, or your authorized possession or use of the Software, infringes that third party's intellectual property rights, Niche Music, rather than Apple, will be responsible for the investigation, defense, settlement, and discharge of the claim to the extent required by applicable law.

This provision does not apply to infringement resulting from your User Content, unauthorized modification of the Software, misuse of the Software, or use in violation of this EULA.


25. Export and Legal Compliance

You may not use, export, re-export, import, sell, or transfer the Software except as authorized by United States law and the laws of the jurisdiction in which the Software was obtained.

You represent and warrant that you are not:

  1. Located in a country or territory subject to a comprehensive United States Government embargo where provision of the Software to you would be prohibited; or
  2. Listed on an applicable United States Government list of prohibited or restricted parties.

You agree not to use the Software for any purpose prohibited by applicable law.


26. U.S. Government Users

If the Software is acquired by or on behalf of the United States Government, the Software and associated documentation are "commercial computer software" and "commercial computer software documentation" and are provided with only those rights generally provided to other end users under this EULA, except where applicable law requires otherwise.


27. Apple-Specific Terms

This section applies only if you download or use Niche Music through an Apple App Store or on an Apple platform where these terms are required.

A. Agreement Between You and Niche Music

You acknowledge that this EULA is entered into between you and Niche Music, LLC only, and not Apple Inc.

Niche Music, not Apple, is solely responsible for the Software and its content.

B. App Store Usage Rules

Your use of the Software must comply with the applicable Apple Media Services Terms and Conditions and App Store Usage Rules.

Nothing in this EULA is intended to provide usage rights that conflict with Apple's applicable usage rules.

C. Maintenance and Support

Niche Music, not Apple, is responsible for providing maintenance and support for the Software as described in this Agreement or as required by law.

Apple has no obligation to provide maintenance or support for Niche Music.

D. Product Claims

Niche Music, not Apple, is responsible for addressing claims relating to the Software or your possession or use of it as described in this Agreement.

E. Intellectual Property Claims

Niche Music, not Apple, is responsible for the investigation, defense, settlement, and discharge of third-party intellectual property claims relating to the Software as described in this Agreement.

F. Third-Party Terms

You must comply with applicable third-party agreements when using the Software, including applicable terms governing Apple services, music services, internet access, and other third-party functionality.

G. Third-Party Beneficiary

You and Niche Music acknowledge and agree that Apple Inc. and Apple's subsidiaries are third-party beneficiaries of this EULA.

Upon your acceptance of this EULA, Apple will have the right, and will be deemed to have accepted the right, to enforce this EULA against you as a third-party beneficiary.


28. Other Distribution Platforms

If you obtain the Software from a third-party application marketplace, device manufacturer, operating-system provider, or other distributor, additional platform-specific terms may apply.

To the extent required by the applicable platform:

  • This EULA is between you and Niche Music and not the distributor
  • Niche Music is responsible for the Software
  • The distributor has no responsibility for maintenance or support except where it separately agrees otherwise
  • You must comply with the distributor's applicable usage rules

If required by a distribution platform, that platform or its affiliates may be a third-party beneficiary of the provisions applicable to it.


29. Direct Desktop Downloads

If you obtain the desktop version of Niche Music directly from us rather than through an application marketplace, this EULA governs your installation and use of that copy.

You may install the Software on devices that you personally own or control, subject to this Agreement.

You may not redistribute the installer, application bundle, executable, package, or modified copy of the Software unless we expressly authorize you to do so.

We may use code signing, update verification, authentication, integrity checks, or other security mechanisms to confirm that a desktop copy of Niche Music is authentic and supported.


30. Changes or Discontinuation

Niche Music is an evolving service.

We may change, replace, suspend, or discontinue features of the Software or Services.

We may also discontinue distribution or support for an operating system, device type, application version, integration, or the Software itself.

Where required by law, we will provide appropriate notice.

Your license does not guarantee that a particular feature, integration, content item, design, music catalog, or version will remain available permanently.


31. Changes to This EULA

We may modify this EULA from time to time.

When we make changes, we will update the version and effective date shown at the beginning of the Agreement.

If a change materially affects your rights or obligations, we may provide additional notice through the Software, website, email, or another reasonable method.

Where required by law, we will obtain your consent before materially changed terms take effect.

Continued use of the Software after an updated EULA becomes effective constitutes acceptance of the updated Agreement where permitted by law.


32. Relationship to Other Niche Music Agreements

Your use of Niche Music may be governed by multiple agreements.

Unless expressly stated otherwise:

  • This EULA governs your license to install and use the Software
  • The Terms of Service govern your account and use of the Niche Music Services
  • The Privacy Policy governs our collection and handling of personal information
  • The Community Guidelines govern acceptable community behavior and content
  • The Artist Agreement, if applicable, governs artist-specific uploads, rights, licensing, distribution, and related obligations

If provisions conflict, the agreement dealing most specifically with the relevant subject matter will control to the extent of that conflict.

Nothing in one agreement eliminates obligations imposed by another agreement that can reasonably apply at the same time.


33. Governing Law

Except where applicable consumer law requires otherwise, this EULA and any dispute arising from it are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

Any dispute that may properly be brought in court will be subject to the jurisdiction of the applicable state or federal courts located in Maryland, unless applicable law gives you the right to bring a claim elsewhere.

Nothing in this section deprives consumers of protections provided by mandatory laws of their jurisdiction.


34. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permitted, and the remaining provisions will remain in effect.


35. Waiver

If Niche Music does not enforce a provision of this EULA in a particular instance, that does not waive our right to enforce that provision later.

A waiver is effective only if expressly made by Niche Music.


36. Assignment

You may not assign or transfer your rights or obligations under this EULA without our prior written consent.

Niche Music may assign this Agreement in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the Niche Music business, subject to applicable law.


37. Entire Agreement

This EULA, together with the agreements incorporated into it where applicable, constitutes the agreement between you and Niche Music regarding your license to the Software and supersedes prior agreements concerning that license.


38. Electronic Acceptance

You agree that electronic acceptance of this EULA has the same legal effect as signing a written agreement.

You may accept this Agreement by actions including downloading, installing, opening, accessing, or using the Software, or selecting an acceptance control where one is provided.
